Terms of Service

    These Terms of Service (the "Terms") constitute a legally binding agreement between you or the entity you represent (the "Customer", "you") and Auraltica LLC, a limited liability company organized under the laws of the State of Wyoming, United States (the "Provider", "we"), and govern access to and use of the Auraltica platform, its web and mobile applications, API and associated services (collectively, the "Service"). Please read them carefully before using the Service.

    1. Acceptance of terms

    By creating an account, accessing or using the Service, you confirm that you have read, understood and agreed to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree with any part, you must not use the Service. If you accept on behalf of a company or organization, you represent that you have authority to bind it to these Terms.

    2. Definitions

    "Customer Data" means any data, content or information that you, your users or your integrations enter, connect or generate through the Service, including data imported from third-party platforms. "Integration" means any third-party service you connect to the Service (e.g. Shopify, Mercado Libre, advertising platforms or external databases). "AI-Generated Content" means the analyses, summaries, charts, recommendations and other outputs produced by the Service's artificial intelligence features.

    3. Description of service

    Auraltica is an e-commerce analytics and business intelligence platform that allows you to connect data sources, synchronize information from connected stores and platforms, query your data in natural language, and generate AI-assisted dashboards, charts, alerts and recommendations. The scope of available features depends on your plan. We reserve the right to modify, extend or discontinue Service features, endeavoring not to materially degrade the core benefits of a current paid plan.

    4. Eligibility and account registration

    To use the Service you must be at least 18 years old and legally capable of entering into a binding contract. You agree to provide truthful, complete and up-to-date information during registration and to keep it current. You are responsible for all activity carried out under your account and for maintaining the confidentiality of your credentials. You must notify us without delay of any unauthorized use or security breach of your account.

    5. Plans, billing and payments

    The Service is offered through recurring paid subscription plans and, where applicable, free or trial features. Payments are processed through our payment provider (Stripe); by subscribing you authorize charges to your payment method. Unless otherwise stated:

    • Subscriptions renew automatically at the end of each period (monthly or annual) for an equivalent period, until you cancel.
    • You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period and you retain access until then.
    • Prices may be subject to applicable taxes. We may update prices with reasonable advance notice; changes will apply from the next renewal period.
    • Unless applicable law requires otherwise, amounts already paid are non-refundable for partial periods or unused features.

    6. Third-party integrations

    The Service allows you to connect third-party Integrations. By doing so, you authorize us to access, retrieve and process data from those Integrations to the extent necessary to provide the Service, in accordance with the permissions you grant. You are responsible for having the rights and authorizations necessary to connect each Integration and share its data. Use of third-party services is also governed by the terms and policies of those third parties, over which we have no control and for which we are not responsible. You may revoke an Integration's access at any time; this may limit or prevent certain Service features.

    7. Customer Data and ownership

    You retain ownership of all Customer Data. You grant us a limited, worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Customer Data solely to provide, maintain and improve the Service for you, and to comply with legal obligations. We may use aggregated and anonymized data — that does not identify you or your customers — for analytics and Service improvement purposes. The processing of personal data is governed by our Privacy Policy.

    8. Artificial intelligence features

    The Service uses artificial intelligence models, including third-party models, to generate AI-Generated Content. This content is provided for informational and decision-support purposes, may contain errors or inaccuracies, and does not constitute professional, financial, accounting, tax or legal advice. You should independently review and validate AI-Generated Content before acting on it. We do not warrant the accuracy, completeness or suitability of AI-Generated Content for any particular purpose, and we are not responsible for decisions you make based on it.

    9. Acceptable use

    You agree to use the Service lawfully and in accordance with these Terms. In particular, you agree not to:

    • violate applicable laws or third-party rights, including intellectual property and privacy rights;
    • access or connect data without the necessary authorizations;
    • attempt to gain unauthorized access to the Service, other accounts or our systems, or circumvent security measures;
    • reverse engineer, decompile or extract source code, except to the extent permitted by law;
    • introduce malware or interfere with the integrity, performance or availability of the Service;
    • use the Service to send unsolicited communications or illegal, defamatory or abusive content;
    • resell, sublicense or make the Service available to third parties without express authorization;
    • use the Service to develop a competing product or service.

    10. Intellectual property

    The Service, including its software, design, trademarks, logos and content (excluding Customer Data), is the property of Auraltica or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable and revocable license to use the Service in accordance with these Terms. No other rights are granted to you by implication.

    11. Confidentiality

    Each party may have access to confidential information of the other. The receiving party agrees to protect such information with a reasonable degree of care, not to disclose it to third parties except on a need-to-know basis, and to use it only to fulfill these Terms. This obligation does not apply to information that is public, lawfully received from a third party, or required to be disclosed by law.

    12. Availability and support

    We endeavor to keep the Service continuously available, but do not guarantee it will be uninterrupted or error-free. The Service may be affected by scheduled maintenance, updates or factors outside our reasonable control. We will endeavor to provide advance notice of maintenance that may significantly affect availability.

    13. Suspension and termination

    We may suspend or terminate your access to the Service, in whole or in part, if you breach these Terms, if your use poses a risk to the security or availability of the Service or third parties, or if required by law. You may cancel your account at any time. Upon termination, your right to use the Service will cease and we may delete Customer Data after a reasonable period, unless legally required to retain it. You may request an export of your data before deletion, where technically feasible.

    14. Disclaimer of warranties

    To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including — without limitation — warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the Service will meet all your requirements or that results obtained will be accurate or reliable.

    15. Limitation of liability

    To the maximum extent permitted by applicable law, Auraltica will not be liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill, arising out of or related to the use or inability to use the Service. Auraltica's total cumulative liability under these Terms will not exceed the amounts you have paid for the Service during the twelve (12) months prior to the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

    16. Indemnification

    You agree to defend, indemnify and hold Auraltica harmless from any claim, damage, liability, cost or expense (including reasonable attorneys' fees) arising from your use of the Service in breach of these Terms, infringement of third-party rights or violation of applicable law.

    17. Modifications to the terms

    We may update these Terms periodically. When changes are substantial, we will notify you by reasonable means (e.g. within the Service or by email) with reasonable advance notice before they take effect. Continued use of the Service after the changes take effect constitutes your acceptance of the modified Terms. The "Last updated" date reflects the current version.

    18. Governing law and dispute resolution

    These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Any dispute related to the Service or these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in the State of Wyoming, without prejudice to any rights that mandatory law grants consumers. The parties will endeavor to resolve any dispute in good faith before initiating legal proceedings.

    19. General provisions

    If any provision of these Terms is found invalid or unenforceable, the remainder will continue in full force and effect. Failure to enforce a right does not constitute a waiver. You may not assign these Terms without our prior written consent; we may assign them in the context of a reorganization, merger or asset sale. These Terms, together with the Privacy Policy and any plan-specific conditions, constitute the entire agreement between the parties with respect to the Service. Neither party will be liable for breaches caused by force majeure events beyond their reasonable control.
